Qualcomm issues Amazon warrants for AI server chips

Qualcomm's Form 8-K filed 8 September 2026 (Item 3.02, Unregistered Sale of Equity Securities) says that on 3 September 2026 it issued a warrant to Amazon.com NV Investment Holdings LLC. The warrant sits on a strategic collaboration with Amazon Data Services, Inc. and affiliates for purchases of Qualcomm Technologies server chip products, technology, systems and manufacturing services. Commission file 000-19528. CFO and COO Akash Palkhiwala signed the report.

This is an SEC current report on an unregistered warrant sale. It is not a completed $4 billion Amazon equity investment, and it is not a product launch with shipping SKUs.

The warrant covers up to 25,000,000 shares of QCOM common stock at an exercise price of $161.26 per share, allows cashless exercise, and expires on 3 September 2036. The holder has no voting or other stockholder rights until exercise. Qualcomm issued it under Securities Act Section 4(a)(2) and says it expects to file a resale prospectus supplement.

Wire copy often treats 25 million times $161.26 as a "$4 billion" Amazon stake. The 8-K does not describe a cash equity buy of that size. Shares vest in tranches tied to commercial arrangements, binding purchase orders, and actual purchases, up to a maximum of $60 billion in payments, and only 3,750,000 shares vested upon issuance on initial purchase commitments. Dilution happens if and when Amazon exercises.

Qualcomm's 8 September company press release frames the commercial side as multi-generational customized silicon for AWS AI infrastructure, focused on inference and power-efficient processing. CNBC reported that PR language and used the $4 billion notional shorthand.

A hyperscaler warrant of this size sits next to Nvidia's $105 billion OpenAI Ohio backstop and Mistral's €3 billion Series D. The same AI-capex tape also includes OpenAI's ChatGPT Ads $1 billion run-rate claim and Wispr's $280 million Series B.

If you buy AWS inference capacity or negotiate chip supply with hyperscalers, treat the 8-K vesting schedule (3.75 million shares now, up to $60 billion in purchase-linked vesting through 2036) as the commercial signal, not the "$4 billion stake" headline.
